Terms and Conditions

These Terms and Conditions govern your access to and use of the Continuum website, app interfaces, documentation, communications, and related services we make available from time to time.

These Terms are entered into between you and [Continuum Legal Entity], a Cayman Islands entity to be finalized, together with its affiliates and service providers ("Continuum," "we," "our," or "us"). If you do not agree to these Terms, do not access or use Continuum.

This is a working draft for operational launch readiness and should be reviewed by Cayman counsel before final publication. Placeholder entity names, registered office details, and notices contacts should be replaced before launch.

Eligibility and access

You may use Continuum only if you are legally able to form a binding agreement with us and your access and use comply with applicable law. You are responsible for ensuring that your use of Continuum is lawful in your jurisdiction.

You must not use Continuum if you are a person or entity subject to sanctions, embargoes, export-control restrictions, or other legal prohibitions, or if you are using Continuum on behalf of such a person or entity.

We may limit, suspend, or terminate access to all or part of Continuum at any time if we believe it is necessary to protect users, comply with law, reduce risk, or preserve the integrity of the platform.

Nature of Continuum

Continuum provides software interfaces, informational content, and access tools relating to onchain financial infrastructure, including synthetic asset experiences, wallet connectivity, market data, and related ecosystem content.

Continuum does not promise that any feature, market, token, launch, or integration will be available at any specific time. Features may be changed, delayed, suspended, or discontinued without notice.

Where Continuum links to or references third-party protocols, launch mechanisms, or platforms, including launchpad or token distribution experiences, those services remain subject to their own terms, disclosures, and operational risks.

No investment, legal, or tax advice

Content made available through Continuum is provided for general informational purposes only and does not constitute investment advice, legal advice, tax advice, accounting advice, fiduciary advice, or a recommendation to buy, sell, hold, mint, redeem, or otherwise transact in any asset.

You are solely responsible for evaluating any transaction, strategy, protocol interaction, or token launch. You should obtain independent professional advice before making decisions that could affect your finances, taxes, or legal rights.

Wallets, keys, and transaction finality

Continuum is designed for self-custodied wallet usage. You are solely responsible for your wallet, seed phrase, private keys, device security, approvals, permissions, and all activity initiated from your wallet or associated accounts.

Blockchain transactions are generally irreversible once submitted and confirmed. Continuum does not control the underlying network and cannot reverse, cancel, or recover transactions, losses, or assets sent to the wrong address, approved in error, or affected by network conditions.

You are responsible for reviewing transaction details before signing, including addresses, amounts, slippage, fees, collateral effects, liquidation risk, redemption mechanics, and any smart-contract permissions you grant.

Protocol, market, and token launch risks

Using Continuum involves substantial risk. Synthetic assets, tokenized exposures, launch mechanisms, liquidity venues, or related smart contracts may be volatile, illiquid, experimental, or subject to design flaws, governance changes, oracle failures, market manipulation, adverse price movements, and total loss.

Continuum may reference future token launches or third-party launch platforms, including the planned Continuum launch through Futardio or a similar mechanism. Participation in any launch is inherently risky and may involve allocation mechanics, vesting, eligibility restrictions, treasury controls, governance structures, and legal or regulatory uncertainty.

Past performance, modeled outcomes, market illustrations, or launch examples are not guarantees of future results. You bear full responsibility for determining whether any interaction is appropriate for you.

Third-party services and external links

Continuum may integrate with or link to third-party wallets, analytics providers, infrastructure partners, form providers, documentation hosts, social platforms, and protocols. We do not control and are not responsible for third-party services, content, uptime, security, privacy practices, or terms.

Your use of third-party services is governed by the terms and policies of those third parties. You assume the risks arising from any third-party interaction, including wallet software, RPC providers, launchpads, exchanges, custodians, bridges, and social channels.

Acceptable use

You may not use Continuum to violate law, infringe rights, interfere with other users, exploit vulnerabilities, bypass access controls, scrape or overload infrastructure in an abusive way, introduce malicious code, or engage in fraud, market abuse, sanctions evasion, or deceptive conduct.

You may not misrepresent your identity, affiliation, or authority; probe or test the security of Continuum without authorization; or use Continuum in a manner that could impair availability, integrity, or reputation.

Intellectual property

As between you and Continuum, we and our licensors retain all right, title, and interest in the Continuum brand, website, software interfaces, content, graphics, documentation, and related materials, except for rights expressly granted to you.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to access and use Continuum for its intended purpose. No implied license is granted.

Disclaimers

Continuum is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, or uninterrupted operation.

We do not guarantee that Continuum, any smart contract interaction, any data feed, or any referenced third-party service will be error-free, secure, or continuously available, or that defects will be corrected.

Limitation of liability

To the maximum extent permitted by law, Continuum and its affiliates, contributors, officers, directors, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, business, goodwill, data, digital assets, or other intangible losses arising out of or relating to your use of or inability to use Continuum.

To the maximum extent permitted by law, the aggregate liability of Continuum for all claims relating to Continuum will not exceed the greater of one hundred U.S. dollars (US$100) or the amount you paid directly to Continuum, if any, in the twelve months preceding the event giving rise to the claim.

Indemnification

You will defend, indemnify, and hold harmless Continuum and its affiliates, personnel, and service providers from and against claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or related to your use of Continuum, your violation of these Terms, your violation of applicable law, or your infringement of any rights of another person or entity.

Governing law and disputes

These Terms are intended to be governed by the laws of the Cayman Islands, unless otherwise required by applicable law or revised by final counsel-approved language. Any dispute, claim, or controversy relating to these Terms or Continuum should be resolved in the courts or dispute forum specified in the final published version of these Terms.

Before launch, this section should be finalized with Cayman counsel, including any forum selection, arbitration, class action waiver, injunctive relief, and consumer-law carve-outs that may be appropriate for the final operating structure.

Changes and contact

We may update these Terms from time to time by posting a revised version on the site and updating the effective date. Your continued use of Continuum after revised Terms become effective constitutes acceptance of the updated Terms.
